Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "Seller") and SOPING Internet Pvt. Ltd. ("SOPING," "we," "us," or "our"), governing your access to and use of the SOPING platform, including the website at soping.in and any associated mobile applications.

By creating an account, making a purchase, listing a product, or otherwise accessing our services, you confirm that you have read, understood, and agreed to be bound by these Terms, along with our Privacy Policy and Return Policy, which are incorporated herein by reference.

We reserve the right to update these Terms at any time. Your continued use of the platform after updates constitutes acceptance of the revised Terms.

To use SOPING, you must meet the following eligibility criteria:

• Be at least 18 years of age, or have valid parental/guardian consent
• Be capable of entering into a legally binding contract under the Indian Contract Act, 1872
• Not be a person barred from using our services under applicable Indian law
• Provide accurate, complete, and current registration information

Account Security: You are responsible for maintaining the confidentiality of your account credentials. All activities under your account are your responsibility. Notify us immediately at support@soping.in if you suspect unauthorized access.

One Account Policy: Each person may maintain only one customer account. Creating multiple accounts to abuse promotions or circumvent restrictions is strictly prohibited and may result in permanent suspension.

As a user of SOPING, you agree to:

• Use the platform only for lawful purposes in compliance with Indian law
• Provide accurate delivery addresses and contact information for successful order fulfillment
• Not attempt to manipulate reviews, ratings, or seller feedback
• Promptly report any defective, counterfeit, or misdescribed products
• Pay for all orders you place — fraudulent chargebacks may result in account suspension
• Treat sellers and support staff with respect and civility
• Not use the platform to conduct unauthorized price scraping or data harvesting

Sellers on SOPING agree to the following obligations in addition to the general user terms:

• Complete full KYC verification including valid GST/enrollment number, PAN, and Aadhaar
• Pay the applicable one-time registration fee as displayed during registration
• List only products that you legally own, have the right to sell, and that comply with Indian regulations
• Ensure product descriptions, images, and pricing are accurate and not misleading
• Dispatch orders within the committed timeframe stated during listing
• Maintain adequate stock levels and promptly update or delist out-of-stock items
• Handle customer complaints and returns professionally and within stipulated timelines
• Not list prohibited items including counterfeit goods, regulated substances, or illegal products

SOPING is a marketplace platform. Sellers are solely responsible for the accuracy, legality, and quality of their product listings. SOPING does not manufacture or warehouse any products.

• All product listings are subject to review and approval by SOPING before going live
• SOPING reserves the right to remove any listing that violates our guidelines without notice
• Prices listed are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise
• SOPING may display recommended prices but final pricing is set by individual sellers
• Price errors or typographical mistakes do not constitute a binding obligation to sell

All payments on SOPING are processed securely through our payment partner, Razorpay. By making a payment, you also agree to Razorpay's terms of service.

• We accept UPI, credit/debit cards, net banking, digital wallets, and Cash on Delivery (COD)
• SOPING Wallet credits can be used for purchases and are non-transferable and non-refundable as cash
• All refunds for returned or cancelled orders are credited to your SOPING Wallet within 24–48 hours of approval
• COD orders may attract an additional convenience fee disclosed at checkout
• In case of failed transactions, any debited amount will be reversed within 5–7 business days

The following activities are strictly prohibited on the SOPING platform:

• Listing or purchasing counterfeit, pirated, or illegally obtained goods
• Engaging in fraudulent transactions, chargebacks, or refund abuse
• Attempting to hack, reverse-engineer, or disrupt the platform
• Scraping, harvesting, or collecting user data without authorization
• Using automated bots to place orders, click ads, or manipulate rankings
• Circumventing platform fees by conducting off-platform transactions with buyers/sellers met on SOPING
• Posting defamatory, obscene, or harassing content in reviews or messages
• Impersonating SOPING staff, other users, or third-party brands

Violations may result in immediate account suspension, forfeiture of wallet balances, and legal action under applicable Indian law.

All content on the SOPING platform — including the SOPING logo, design, interface, code, text, and brand elements — is owned by SOPING Internet Pvt. Ltd. and protected under applicable intellectual property laws.

• Users are granted a limited, non-exclusive, non-transferable license to access the platform for personal use
• You may not reproduce, distribute, modify, or create derivative works of SOPING's content without written permission
• Sellers retain ownership of their product images and descriptions but grant SOPING a royalty-free license to display them on the platform
• User-generated content (reviews, ratings) grants SOPING the right to display, moderate, and use such content to improve services

SOPING provides the platform "as is" and makes no warranties regarding uninterrupted service availability, error-free operation, or the fitness of products for a particular purpose.

• SOPING is not liable for any product defects, quality issues, or misdescriptions by sellers
• Our maximum liability to any user shall not exceed the total amount paid for the specific transaction in dispute
• We are not responsible for delays caused by logistics partners, natural disasters, or government actions
• SOPING does not guarantee continuous, uninterrupted access to the platform

In the event of a dispute between a buyer and seller, SOPING will act as a neutral facilitator to help resolve the issue through our dispute resolution mechanism:

1. Raise a dispute within 48 hours of delivery through your order dashboard
2. Our team will review evidence from both parties within 5 business days
3. SOPING's decision on marketplace disputes is final and binding on both parties
4. For unresolved disputes, parties may seek recourse through Indian consumer courts

These Terms are governed by the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

SOPING reserves the right to suspend or terminate your account at any time, with or without notice, for:

• Violations of these Terms & Conditions
• Fraudulent, abusive, or illegal activities
• Non-payment of seller fees or chargebacks
• Providing false information during registration or KYC

Upon termination: pending orders will be completed or cancelled as appropriate, wallet balances may be held pending dispute resolution, and seller payouts will follow the standard payout timeline after deducting any outstanding dues.

You may close your account at any time by contacting support@soping.in. Account closure does not release obligations for transactions completed prior to closure.
